Terms of Service

1. Service Description

Morse is a cost and quality intelligence platform for production AI agents. The service includes a web dashboard, REST and OTLP ingestion APIs, open-source SDKs, and related documentation (collectively, the “Service”).

2. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

3. Acceptable Use

You agree not to:

• Use the Service to store or transmit content that is unlawful, infringing, or harmful.
• Attempt to gain unauthorized access to other users' data or to Morse infrastructure.
• Interfere with or disrupt the Service, including by transmitting malware or conducting denial-of-service attacks.
• Reverse-engineer the Service beyond what is permitted by applicable law or the open-source licenses of our SDKs.
• Resell or redistribute the Service without prior written consent.

You are welcome to benchmark Morse against other tools and publish what you find. We would rather you evaluate us honestly than be contractually prevented from saying so.

4. Data Ownership

You own your data. Telemetry data, traces, metrics, and any content you submit through the Service remains your property. Morse does not claim ownership of your data.

You grant Morse a limited license to process, store, and display your data solely to provide and improve the Service. This license terminates when you delete your data or close your account.

Morse will not use Customer Data to train, fine-tune, or otherwise develop any machine learning model, and will not disclose Customer Data to any third party for that purpose. Improvements to the Service are derived from aggregated, de-identified usage metrics only. This restriction survives termination of these Terms.

5. Data Protection

Where Morse processes personal data on your behalf, it does so as a processor on your documented instructions. Our Data Processing Agreement, including the European Commission's Standard Contractual Clauses for transfers out of the EEA, the UK, and Switzerland, is incorporated into these Terms by reference and is available on request from [email protected].

The services we use to process customer data are listed on our Subprocessors page. We notify account owners at least 30 days before a new subprocessor begins processing customer data.

6. Confidentiality

Each party may receive non-public information from the other in connection with the Service. The receiving party will use that information only to perform under these Terms, protect it with at least reasonable care, and not disclose it except to employees and contractors bound by comparable obligations. This does not apply to information that is public through no fault of the receiving party, independently developed, or required to be disclosed by law — in which case the receiving party will give notice where legally permitted.

Your Customer Data is your confidential information.

7. Service Availability

We aim to provide reliable, continuous access to the Service, but we do not commit to a contractual uptime guarantee at this time. The Service is provided on a best-effort basis.

We publish live availability and incident history at status.morsehq.dev. We would rather show you the number than promise one we have not yet earned.

We may temporarily suspend the Service for maintenance, upgrades, or emergency security patches. We will provide advance notice when possible.

8. Pricing and Payment

The free tier is available at no charge with published usage limits. Paid plans are billed monthly via Stripe. Prices may change with 30 days' advance notice.

If payment fails, we will notify you and provide a grace period before downgrading your account to the free tier. Your data will be retained according to the free tier retention policy during the grace period.

9. Intellectual Property

Morse and its logos, designs, and documentation are the property of Morse. Our open-source SDKs are licensed under their respective open-source licenses (MIT).

Nothing in these Terms grants you rights to use Morse trademarks without prior written consent.

10. Privacy

Our Privacy Policy describes how we collect, use, and protect your information. By using the Service, you agree to the Privacy Policy.

11. Limitation of Liability

To the maximum extent permitted by law, Morse shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability for any claim shall not exceed the greater of (a) the amount you paid for the Service in the twelve months preceding the claim, or (b) one hundred US dollars ($100).

12. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Indemnification

You agree to indemnify Morse from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

14. Termination

You may close your account at any time. Upon termination, your data will be deleted according to our Data Retention Policy.

We may suspend or terminate your account if you violate these Terms, with notice unless the violation requires immediate action to protect the Service or other users.

15. Beta and Preview Features

We may label features as beta, preview, or experimental. Those features are provided “as is”, may change or be withdrawn without notice, are excluded from any support commitment, and may carry a higher risk of error or data loss. Do not rely on a beta feature for anything you cannot afford to lose.

Everything else in these Terms — in particular your ownership of Customer Data, our confidentiality obligations, and our commitment not to train on your data — applies to beta features in full.

16. Modifications

We may update these Terms from time to time. We will notify you of material changes by email or in-app notice at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.

17. Governing Law and Export Controls

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law provisions.

You may not use the Service in violation of US export control or sanctions laws. You represent that you are not located in, and are not ordinarily resident in, a country or territory subject to comprehensive US sanctions, and that you are not a party on any US government restricted-party list.
